  • AS Ekspress Grupp to merge subsidiaries in Lithuania 10.04

    AS Ekspress Grupp will merge two subsidiaries, UAB Delfi and UAB Ekspress Leidyba. Prior to the merger, AS Ekspress Grupp sells the shares of UAB Ekspress Leidyba to SIA Delfi Holding, which also holds the shares of UAB Delfi. After the merger, UAB Ekspress Leidyba will be erased from the register. The current CEO of Delfi, Darius Gudaciauskas will also be designated as the Manager of UAB Ekspress Leidyba, the former Manager of the company, Asta Iljaseviciute will continue as a Project Manager in the merged company.

  • The Supervisory Board of AS Ekspress Grupp approved investment in new printing machine 08.04

    The Supervisory Board of AS Ekspress Grupp has decided to approve the Management Board’s proposal to invest in acquisition of a new printing machine in Group’s printing company AS Printall. In recent years, AS Printall has operated at the border of the production capacity and the new machine will enable the company to grow and with it the ability to grow the earning capacity by 20 to 25 percent. The new machine to be acquired is a sheet fed printing device that enables to print magazine covers and promotional products. The Management Board of AS Printall will start the negotiations with the suppliers, it is an investment of EUR 2.5 – 3.5 million. 2/3 of the cost of the machine will be financed by a bank loan and the remaining will be financed from equity capital. The approximate time of installation of the new printing machine is the first quarter of 2015.

  • Delfi Holding transferred the shares of Ukraine subsidiary 26.03

    SIA Delfi Holding has transferred 100% of the shares of the Ukraine subsidiary LLC Delfi, which operated news portal delfi.ua. The purpose of the transaction is to terminate business activity in Ukraine as stated in the announcement published on 2 February 2014.

  • Ekspress Grupp filed its objections and counterclaim to the Court of Arbitration as a response to the claim by Eesti Meedia 17.03

    On 14 March, AS Ekspress Grupp communicated to the Court of Arbitration of the Estonian Chamber of Commerce of Industry its objections, with respect to the claim, filed with the Court by Eesti Meedia, and also submitted a counterclaim. In its objections and counterclaim, AS Ekspress Grupp gave the Court its proofs and reasons to evidence its position, stating that AS Eesti Meedia has breached the shareholders’ contracts, concluded between the parties, hence making it impossible for AS Ekspress Grupp to exercise its right for redemption of joint ventures, provided by the aforementioned contracts, also asking the Court for assistance in enforcing the contracts between the parties. In its claim, AS Ekspress Grupp also asked the Court to adopt a ruling that would claim AS Eesti Meedia to pay a contractual penalty and fines for delays in total sum of 3.55 million euros. 

    AS Ekspress Grupp also hereby announces that due to the confidentiality of the arbitration proceedings the company will not disclose any additional information on this subject until the Court has passed its ruling on this matter.

  • AS Ekspress Grupp to terminate its activity in Ukraine 21.02

    AS Ekspres Grupp has decided to terminate Delfi’s activity in Ukraine from 1st of March 2014. During a six year-period, AS Ekspress Grupp has invested approx. EUR 2 million in the development of Delfi Ukraine but this has not brought the expected success in online portals market. The Group does not see a positive outlook for the future development of Delfi Ukraine, which would justify continuing the business and therefore has decided to stop its activity in Ukraine. Currently, negotiations with the management of the company are being held, as the management has expressed its willingness to continue the activities of the portal and use Delfi’s trademark.

  • AS Ekspress Grupp commentary on information published in newspaper Postimees 10.01

    Yesterday, on 9 January 2014, the news portal Postimees published an article in which AS Eesti Meedia announced that the company will turn to court to require EUR 8.6 million from AS Ekspress Grupp for breaching the shareholders agreement. Allegedly, the claim consists of share prices of SL Õhtuleht, Ajakirjade Kirjastus and Express Post arising from the shareholders agreement between the parties and of contractual penalty for non-payment for the buyout right.

  • Darius Gudačiauskas to become Chief Executive Officer of Delfi Lithuania 06.01

    The Supervisory Board of UAB Delfi has decided to appoint Darius Gudačiauskas as the new Chief Executive Officer of Delfi Lithuania.

    Previously, Darius Gudačiauskas co-founded and worked as the Chief Executive Officer of the start-up Cheap Data Communications. From 2006 until 2013, Darius Gudačiauskas served as the Head of Sales and Customer Care Division and as a Deputy General Manager in the telecommunication company TEO LT, AB.

    Darius Gudačiauskas does not own any shares of AS Ekspress Grupp.

  • AS Ekspress Grupp is turning to arbitration to acquire the shares of AS Ajakirjade Kirjastus and AS SL Õhtuleht and withdrew from buyout of AS Express Post 13.12

    Today, AS Ekspress Grupp informed AS Eesti Meedia that as AS Eesti Meedia has breached the shareholders agreements between the parties and hence hindered AS Ekspress Grupp from acquiring the shares of parties’ joint venture companies, AS Ekspress Grupp shall recourse to court to protect its rights. AS Ekspress Grupp also withdrew from the buyout of shares of AS Express Post, the joint venture of the parties, for the same reason. In the lawsuit that will be submitted to the arbitration at first opportunity, AS Ekspress Grupp requires among other things contractual penalties for breaching the agreements in the sum of at least 3,500,000 euros from AS Eesti Meedia.

  • The Estonian Competition Board authorized the concentration of AS Ekspress Grupp, OÜ Suits Meedia and AS SL Õhtuleht, AS Ajakirjade Kirjastus, AS Express Post 02.12

    On 28 November 2013, the Estonian Competition Board issued a decision authorizing the concentration of AS Ekspress Grupp, OÜ Suits Meedia and AS SL Õhtuleht, AS Ajakirjade Kirjastus, AS Express Post. As a result of the decision, AS Ekspress Grupp may purchase the shares AS Eesti Meedia owns in AS SL Õhtuleht, AS Ajakirjade Kirjastus and AS Express Post and to sell the shares to OÜ Suits Meedia. 

    The completion schedule of the transaction depends on AS Eesti Meedia executing the shareholders’ agreements concluded with AS Ekspress Grupp.

    AS Ekspress Grupp ja UAB Adnet Media aktsionärid allkirjastasid 6. novembril 2013 aktsiate ostu-müügi lepingu, mille kohaselt AS Ekspress Grupp omandab 49%-lise osaluse Leedu ettevõttes UAB Adnet Media, mis tegeleb internetireklaami müügiga Eestis, Lätis ja Leedus. Ekspress Grupp saab ka optsiooni 2017. aasta esimeses kvartalis omandada ülejäänud 51% UAB Adnet Media aktsiatest.

  • New Chief Executive Officer in Delfi Latvia 04.11

    The Supervisory Board of AS Delfi has decided to appoint Konstantin Kuzikovs as the new Management Board Member and Chief Executive Officer of AS Delfi.

    Until now, Konstantins Kuzikovs  served as the Marketing Director in Arcana Digital Group Ltd. Previously, Konstantin Kuzikovs has worked as the Director of advertising agency in Diena JSC publishing house (2012-2013) and as the Executive Director of Super FM Media Group Ltd (2011-2012) and Russian Radio Ltd (2009-2011).

    Arnis Ozols, the current Chief Executive Officer and Management Board member of AS Delfi will be called back from the Management Board.

    Konstantin Kuzikovs does not own any shares of AS Ekspress Grupp.

  • Consolidated Interim Report for the Third Quarter and Nine Months of 2013 01.11

    In the 3rd quarter of this year, Ekspress Grupp earned net profit of EUR 0.5 million which is 73% higher than in the same period last year. EBITDA totalled EUR 1.4 million, which is 9% lower than last year. We are not satisfied with either result as we were more optimistic in our forecasts. In the 3rd quarter, we earned lower profit in online media and printing services segments. The periodicals segment grew as compared to the same period last year.

This right is provided for the contracting parties in the event the major shareholder of the other party changes.   • Extension of Term of Office of Management Board Member and Granting Stock Option 12.09

    The Supervisory Board of AS Ekspress Grupp has decided to extend the term of office of Gunnar Kobin, the Chairman of the Management Board and to grant him stock option under the following conditions: 

    1. Eligible subject of the option is Gunnar Kobin, the member of the management board of AS Ekspress Grupp (further on: the Management Board Member);

    2. Under the stock option plan, the Management Board Member is from 1 January 2017 until 31 March 2017 entitled to acquire up to 700 000 shares for free. The Supervisory Board is entitled to partially reduce the number of share options if the Management Board Member does not meet assigned goals;

    3. To comply with the terms of the option, AS Ekspress Grupp acquires up to 700 000 own shares latest by 31 December 2016.

  • Consolidated Interim Report for the Second Quarter and Half Year of 2013 01.08

    In the 2nd quarter of this year, Ekspress Grupp earned net profit of EUR 1.4 million as compared to EUR 972 thousand a year before which is 44% higher. EBITDA was 6% lower than last year, i.e. EUR 2.4 million as compared to EUR 2.5 million last year. We are satisfied with both results as they exceeded our forecasts published in the last quarter’s report. We expected net profit to increase by 30% and EBITDA to decrease by 7%.   • AS Ekspress Grupp: Consolidated Interim Report for the First Quarter of 2013 03.05

    In the 1st quarter of this year, the Group earned a net profit of EUR 633 thousand as compared to EUR 179 thousand earned a year before. Sales totalled EUR 13.8 million and were 3% lower than last year. EBITDA was 7% lower than in the 1st quarter of 2012 and we ended the quarter with a profit of EUR 1.5 million. Sales and EBITDA expectations were 2% and 9% higher, respectively, but the quarterly net profit remained at the budgeted level.

    From May, AS Ekspress Grupp will no longer publish monthly sales results. Instead, sales and profit forecast for the next reporting period will be submitted to the quarterly interim reports.     The Group’s sales in March decreased by 3% compared to the same period last year. The 8.2% decline in the printing services segment is mainly caused by the revenue decrease in paper sales. In the printing services, the decline was significantly lower reaching 2.3%. In contrast, the online media segment increased the sales by 12.8%. The periodicals segment -5.5% result is due to one less publication of weeklies compared to last year, termination of the DVD-series and hence the decline in single copy sales. However, the general weakness and volatility of the print media advertising market affects the periodicals segment result the most. Read more »

    The Group’s sales in February decreased by 6.8% compared to the same period last year mainly because of the decline in the printing services segment. The 18.2% decline in the printing services segment was due to several large export projects being delayed and finished. The decrease in the services was somewhat lower, i.e. 10%. The online media segment increased the sales by 9.3%. Despite the continuing recession in the advertising market, the periodicals segment sales remained at the same level compared to the same month previous year.  Again, this was supported by the sales of the DVD series which after 45 weeks was completed in February.

    The Group’s sales in January increased by 2% compared to the same period previous year. Considering the weak advertising market at the beginning of the year, it is a significant result. Again, the online media showed the largest growth increasing by 12% compared to the same period last year. The best result was achieved by Delfi Lithuania. This was supported by various portals launched last year, also the purchase of the classifieds portal Alio. In the periodicals segment, the advertising revenues decreased in all companies.  Maaleht was the only publication able to surprise with a growth.  However, all in all the periodicals segment still increased the sales by significant 4.3%. This was supported by single copy sales of the newspapers and the sales growth from the Estonian Film Classics DVD series, as well as an additional publication of the weeklies. The continuing DVD series of Estonian Film Classics will be ongoing until the end of February. The sales of the printing services decreased by 3.5%, however the printing services percentage increased by 3%.

    The Group’s sales in December decreased 4.5% compared to the same period in 2012, but the result met the management board’s expectations. December results were influenced by the absence of one active business week due to long holidays last year.The online media segment increased the sales by 5%, but both the sales of the periodicals and the printing services segment decreased approximately 5%. Continuing DVD series of Estonian film classics shows a positive trend, which also contributes to single-copy sales of Eesti Päevaleht. In the printing services segment, the paper sales and such other decreased the most. The printing sales decreased by 1% compared to the same period a year earlier.

    Mindaugas Norvaišis, the current Managing Director of the the Lithuanian magazine publisher UAB Ekspress Leidyba will be removed from the position from 21 December 2012 and the new Managing Director of the company will be Asta Iljasevičiūtė.

    From 2006 up until now, Asta Iljasevičiūtė served as the Marketing Director of UAB Ekspress Leidyba.

  • AS Delfi and Saarmann Meedia OÜ entered into merger agreement 14.12

    Today, 14 December 2012, AS Delfi (acquiring company) and Saarmann Meedia OÜ entered into a merger agreement, under which AS Delfi and Saarmann Meedia OÜ merge. The acquiring company will continue its operations under the business name of AS Delfi.

    It was a restructuring of a previously acquired company - AS Delfi acquired Saarmann Meedia OÜ on 4 March 2011.

    The merger agreement is available for public inspection at the registration department of Harju County Court and at the offices of AS Delfi at Narva mnt 11E, Tallinn.

    The Group’s sales in November increased by 3.6% compared to the same period previous year. Again, the online media segment grew the most increasing the sales by 11.5% compared to November last year. Delfi Lithuania and Delfi Latvia contributed the most to the growth. The periodicals segment also showed a decent result increasing by 5.7%. The growth was supported by the successful launch of Eesti Päevaleht’s Saturday’s edition LP, Estonian movie classics DVD series sales and an additional publication of the weeklies. The sales of the printing services segment increased by 2.5% in November and this was mainly due to the increase in the volume of services.

    The Group’s sales in October increased by 3.6% compared to the same period previous year. The online media segment showed a strong growth increasing the sales by 32.1% compared to the same month last year. The 4% growth in the periodicals segment sales is also positive. The growth was supported by strong book and DVD series sales, which in turn had a positive effect on single copy sales revenues. The advertising revenues of magazines both in Estonia and Lithuana also increased. The printing services segment in October decreased in total by 1%. The decline is due to decrease in paper sales and other services turnover, the volume and sales of printing services increased.

    AS Printall, a subsidiary undertaking of AS Ekspress Grupp, has on 08.11.2012 signed a division plan based on which AS Printall will divide by way of separation. As a result of this transaction all such intra-group loan and interest claims which are not necessary for day-to-day operation of the undertaking will be separated from AS Printall. As a result of the division there will be no changes in the activities or amount of share capital of AS Printall. During the course of division a new undertaking will be established under the name of OÜ Ekspress Finance (in foundation), which will also become a 100% subsidiary undertaking of AS Ekspress Grupp.

  • AS Ekspress Grupp Consolidated Interim Report for the Third Quarter and 9 months of 2012 02.11

    In the first nine months of the current year, the consolidated net profit of AS Ekspress Grupp totalled EUR 1.4 million which almost fourfolded as compared to last year. In a year, EBITDA increased by 13% and totalled EUR 5.6 million. In the 3rd quarter, the Group’s net profit totalled EUR 263 thousand and EBITDA totalled EUR 1.5 million.     The Group’s sales in September increased by 1% compared to the same period last year. The online media segment increased by 2.8%. In the online-media segment, only Delfi Lithuania showed a strong growth. The periodicals segment decreased by 5.4%. In addition to decline in advertising revenues, the segment was affected by newspapers being published four times in September compared to five publications in September last year. Thanks to the DVD series, the book sales increased almost twice compared to the same period previous year. The printing services segment increased 7.4% in September, evenly in both services and paper sales.

    The Group’s sales in August decreased by 0.5% compared to the same period last year. Mainly, this is due to 6.6% decline in the printing services segment. Revenue in print remained at the previous year level, the decline is due to fewer clients who with printing buy also paper through Printall. In the online media segment, the strong growth continues in Latvia and Lithuania. In Estonia, the result remained at the previous year level. As a whole, the online media segment increased by 12.3% compared to the same period last year. The periodicals segment continued at the same pace as last month and increased the sales by 7.3% compared to the same period in 2011. Again, the growth was mainly supported by successful sales of the DVD series. The good result in August was also supported by newspapers being published five times in August compared to four publications in August last year.     The Group’s sales in Juy increased by 8.2% compared to the same period previous year. In the online media segment, the strong growth continues - compared to the same period last year, the sales increased by 26.2%. In July, Delfi Latvia showed a very good result where thanks to proactive sales and successful supplements, the sales increased nearly 35%. For several months in a row, Delfi Ukraine has nearly doubled its sales compared to the previous year, though the amount is still marginal.  The periodicals segment continued at the same pace as last month and increased the sales by 6.7% compared to the same period in 2011. The growth was primarily supported by the successful DVD series sales. In the advertising revenues, Eesti Päevaleht surprised positively by increasing its advertising revenue in July after a long-term decline. This is due to successful special inserts and changed sales strategy. The printing services segment increased its sales in total by 6.6%. The growth was again led by export, as well as paper sales. To some extent, Scandinavian clients show a greater summer passivity compared to the same period last year.

    In the 2nd quarter, AS Ekspress Grupp’s consolidated net profit was 147% higher than a year ago, i.e. EUR 972 thousand. The net profit for the first half of the year (excluding the net extraordinary gain in relation to the acquisition of Eesti Päevalehe AS) increased by 381% and totalled EUR 1.2 million. In the 2nd quarter, EBITDA increased by 25% as compared to last year and totalled EUR 2.5 million, and in the first half of the year, it increased by 21% and totalled EUR 4.1 million. In the 2nd quarter, the company’s sales amounted to EUR 15.7 million, which is 5% higher than last year. In the first half of the year, the company’s sales amounted to EUR 29.9 million, which is 7% higher than last year. The group’s EBITDA margin was 16% in the 2nd quarter and 14% in the first half of the year. As compared to the budget for 2012, the Group exceeded its sales forecasts by 2% and EBITDA forecasts by 10%.

The growth was supported by book and DVD sales. The advertising revenue remained below the previous year’s level mainly because of the weeklies were published one time less this year.     he Group’s sales in April increased by 2.5% compared to the same period last year. The online media segment grew the sales by 13%. As for the past several months, Delfi Lithuania showed a very strong result increasing by 22.7% compared to the same month previous year. The periodicals segment decreased by 3.3%, mostly due to decline in book publishing and other revenues, however revenue of the core activity increased. The advertising revenue increased by 4% and single copy sales by 6.4%. This was contributed by Eesti Ekspress, Maaleht, the Estonian movie classics DVD series published by Eesti Päevaleht, as well as the new magazine Top Gear. The printing services segment had a very good result increasing the sales by 8.1%. The growth was supported both by export and sales in Estonia.

    For the first time since 2008, the Group earned  net profit from its main operations which totalled EUR 179 thousand in the 1st quarter (EUR 0.01 per share).     The Group’s sales in March increased by 4.7% compared to the same period previous year. The online media segment increased by 27% with Delfi Lithuania showing a particularly strong result. The result of Eesti Päevalehe AS has been consolidated 100% since March last year.     The Group’s sales in the first month of 2012 increased by 12.5%. Printing services segment showed a particularly good result increasing the sales by ca 19% in one of the worst months of the year. Online media segment grew by 15.4% in January. Delfi in all the Baltic countries increased the sales by 14-16%. The sales of Delfi Ukraine increased by 100% but it’s impact on the segment turnover is not yet significant. It should be noted that turnover recognition principles of Delfi Lithuania were adjusted therefore the comparable data of 2011 was changed as well. The change had no effect on Group’s profit.     The Group’s sales in July decreased by 2.1% compared to the same period previous year. This is increasing seasonal trend, which in media companies is related to extraordinary hot summer and consequently to slowdown in economic activity. In the printing services segment the total sales decreased but the print sales increased. The decrease in total sales is due to the increase in the number of clients who only buy printing service and provide their own paper.

    The key event for the Group in the 2nd quarter was the reorganisation process implemented after the acquisition of Eesti Päevalehe AS which concerned both the product as well as represented an organisational reform involving several entities.

    In the 2nd quarter, the net profit of Ekspress Grupp totalled EUR 394 thousand. In the first half year, the Group’s net profit totalled EUR 1.78 million. The results of the both the 2nd quarter as well as the first half year were impacted by several extraordinary activities, with both positive and negative effects on the financial performance. The change in goodwill that was related to the acquisition of the shares of Eesti Päevalehe AS in the amount of EUR 1.54 million had a positive effect on the Group’s net profit. However, in the second quarter, the profit was reduced by the restructuring costs, accrual for a potential claim related to a court case and a full ownership of the currently unprofitable Eesti Päevalehe AS instead of the former 50% ownership as compared to last year.

The advertising sales of Õhtuleht and Eesti Päevaleht decreased.     In the fourth quarter of 2010, the sales of Ekspress Grupp increased by 10% and EBITDA by more than twice compared to the same period previous year. In the fourth quarter of 2009, the Group had goodwill write-offs and therefore operating profit and net profit for the forth quarter of 2010 is significantly better. Normalised operating profit (i.e operating profit without goodwill write-offs) is several times higher and basically zero profit has lead to considerable profit. The Management was especially pleased with the 22% sales increase and significant EBITDA increas (250%) of Delfi Group. AS Printall had also a good result, increasing the sales in the forth quarter by 18% and EBITDA by 59% compared to the same period last year. In the periodicals segment only Ajakirjade Kirjastus managed to show a positive result. The sales of other companies declined.

    The Group's sales in January increased by 9% compared to the same period last year. Euro adoption has not significantly affected advertising clients' plans, but consumers have become more cautious than last year when buying newspapers.The biggest growth was in the online media segment where the sales increased by 43.2%.

    Today, on 4 February 2011, AS Ekspress Grupp signed a letter of intent for selling the shareholding in the newspaper home delivery company AS Express Post. The holding will be acquired by AS Eesti Post. According to the letter of intent, the transaction price is EUR 2 621 100.  Read more »

    he Supervisory Board of SIA Delfi Holding has decided to reorganise the management of Delfi organisations in the Baltic States and in Ukraine.   • Sales in December 11.01

    The Group's sales in December increased by 8.2% compared to the same period last year. Delfi Estonia and Delfi Latvia were the largest contributors to the growth, Delfi Latvia grew by 41.7% compared to the same month previous year. The periodicals segment remained close to the previous year's level, decreasing by 1.5%. Advertising sales of almost all the publishing companies increased compared to same period last year. The printing services segment continued to grow, being 9.7% better than previous year.
